This paper is intended as an investigation of the Country-of-origin effect in international personnel management which adopts an institutional approach. The fruitfulness of this theoretical concept is illustrated by drawing on research into the personnel policies of German multinational enterprises. The German enterprises which come from a national business system in which they are embedded socially and institutionally tend to be rather specialized and less vertically integrated than American enterprises. This article deals with a specific approach to international labour regulation: social clauses in the free trade agreements of the US. It analyses the history, institutional design, the practice and the regulatory impact of the pilot agreement, the North American Agreement on Labour Cooperation (NAALC), between the US, Canada and Mexico, one of the two NAFTA side agreements. With the NAALC the three governments subscribed to the obligation to promote, enforce and improve social standards within the framework of their national labour legislation. Social institutions have recently started to adapt the principle of leadership. The particular characteristics of leadership in social institutions have hardly been identified jet. In this article, we aim at identifying the shape that leadership takes in the context of authority, power, management and with relation to the social aspect. The increasing dominance of economic thinking has contributed to an increasing precarious position of social principles. Leadership might face a special challenge if hen it takes on responsibility of protecting social priorities from annihilation through economy. Moreover, leadership might have to protect itself from being seduced by its own power, too.

The rationale for the lively interest in corporate governance is the belief that there is a relationship between corporate governance and firm performance. A "good" governance system is supposed to have a positive impact on performance. This article provides a state-of-the-art review of empirical work on the link between corporate governance and firm performance. It finds that there are neither clearly positive nor negative effects that can be identified. In the discussion, various reasons for the inconsistent findings are evaluated. This paper approaches post-fordist work regulation and proposes to analyse the regulation of knowledge work from the perspective of contract relations, it discusses the concept and quantitative extent of knowledge work, and regards project-organisation as a characteristic feature of the post-fordist production mode. The article deals with contract relations of knowledge work within and beyond the standard employment conditions. Subsequently, the terms and perspectives of work regulation in the post-fordist era are examined. Finally the paper argues that the post-fordist mode of work regulation requires a strengthening of the rights of individuals and is characterised by metarules.
