This paper analyses conflicts of interests from a business economics perspective. It tries to shape out a borderline between types of conflicts of interests (and behaviour patterns in the course of a conflict of interest) which can be, from an economic viewpoint, qualified as "legitimate" and other types which can be not. The basis of conclusion is agency theory and implicit contracting.

A theory of the firm is sketched that contains the presuppositions for a systematic integration of both economic and ethical problems within its framework. Against the background of the stakeholder approach, the business-economic concept of customer integration is interpreted as a special case within a more general concept of stakeholder integration. The stakeholder approach thus provides the link between theory of the firm and business ethics. Based on this connection, a division of the economic and the ethical performance of a firm, and the responsibilities ascribed to them, can be avoided. This paper provides evidence for the potential of the stakeholder approach to unify and consolidate problems and questions within business ethics.

In this paper the increase in non-standard forms of employment (temporary work, fixed-term employment contracts, part-time work and marginal part-time work) is explained using a new theoretical approach. It is based upon transaction cost theory and takes a closer look at costs (and revenues) of employment relations: On the one hand, atypical forms of employment reduce labor costs and dismissal costs, but on the other, they increase transaction costs and those for training and skills. This paper approaches post-fordist work regulation and proposes to analyse the regulation of knowledge work from the perspective of contract relations, it discusses the concept and quantitative extent of knowledge work, and regards project-organisation as a characteristic feature of the post-fordist production mode. The article deals with contract relations of knowledge work within and beyond the standard employment conditions. Subsequently, the terms and perspectives of work regulation in the post-fordist era are examined. Finally the paper argues that the post-fordist mode of work regulation requires a strengthening of the rights of individuals and is characterised by metarules.
