Bank regulation- 1.1 Prudential regulation- (a) General- (i) International- BCBS: Basel III monitoring report- Status: Final- BCBS has published its latest monitoring report setting out the impact of the Basel III framework, based on data as of 30 June 2023. It shows that initial Basel III capital ratios for a sample of the largest global banks were largely stable and above prepandemic levels in the first half of 2023, and that the leverage ratio rose further in Europe after declining in all regions during the pandemic. In the same period, the profit after tax of large internationally active banks increased to a record EUR 279 billion. Date of publication: 06/03/2024

  Blick auf den Markt und die bedeutendsten Transaktionen - Die Analyse öffentlicher Übernahmen im Jahr 2023 erscheint auf den ersten Blick wie eine Blaupause des Vorjahres. Die bereits 2022 festgestellten Trends bestätigten sich, insbesondere die zahlenmäßig recht geringe Anzahl an Transaktionen mit durchschnittlich niedrigen Transaktionsvolumina, die bedeutende Rolle von Private Equity-Bietern bei größeren Transaktionen, der hohe Anteil von Delisting-Angeboten sowie die selten angebotenen Übernahmeprämien. Der Aktienmarkt erholte sich nach anfänglicher Schwäche 2023, und der DAX 40 erzielte zum Jahresende neue, zuvor nie erreichte Rekordwerte.

  On 30 December 2023 the German Secondary Credit Market Promotion Act (Kreditzweitmarktförderungsgesetz) entered into force, which simplifies dealing in non-performing loans (“NPLs“) by introducing a new law, the German Secondary Credit Market Act (Kreditzweitmarktgesetz).

• Neues Jahr, neues Recht: Das Personengesellschaftsrecht ist modernisiert!

  Mit dem Jahreswechsel ist das Gesetz zur Modernisierung des Personengesellschaftsrechts (kurz „MoPeG“) in Kraft getreten und hat erhebliche Änderungen insbesondere für die Gesellschaften bürgerlichen Rechts („GbR“) gebracht: Für GbRs besteht nun die Möglichkeit (nicht die Pflicht!), im neu geschaffenen Gesellschaftsregister eingetragen zu werden und damit den Status einer „eingetragenen GbR“ („eGbR“) zu erhalten.

  The Financing for the Future Act came into force on 15 December 2023. The significant reforms to stock corporation and capital market law increase flexibility in German ECM transactions. Overview of the key changes - The key parts of the Financing for the Future Act (Zukunftsfinanzierungsgesetz) (ZuFinG) came into force on 15 December 2023. The new law is intended to strengthen the performance of Germany’s capital markets and to enhance the attractiveness of Germany as a financial centre and part of a strong European financial centre. In particular, the access to the capital market and equity raises for start-ups, high-growth companies and small and medium-sized enterprises (SMEs) shall be eased.

• The Right of Set-off in Insolvency Proceedings

  The right to set off a claim is a legal concept through which reciprocal claims between a creditor and a debtor company are settled against each other reducing or extinguishing the smaller claim and leaving only a balance outstanding. A right of setoff may constitute a self-help remedy upon which a creditor can rely without the assistance of the Courts. In an insolvency situation, a right of set-off can be crucial as it may improve a creditor‘s overall financial position in relation to the debtor company.
